Referral Terms & Conditions

This version (1.0) of Connect Rocket’s Referral Program is in effect as of - December 1, 2024.

By participating in Connect Rocket’s Referral Program, you agree to the following Terms and Conditions. Please read them carefully.

General

This Referral Program Agreement (hereinafter “Agreement”) contains the terms and conditions of the agreement between you (hereinafter “Referrer”, “You”, “Your”) and Connect Rocket Communications Inc., (“Connect Rocket”) a company duly incorporated under the laws of British Columbia Canada, regarding your participation in the Connect Rocket Referral Program (the “Program”). This Agreement along with Connect Rocket’s Terms of Service and Privacy Policy govern your access to and participation in the Program. By participating in the Program, you agree that you are subject to and will comply with all Terms and Conditions (“Terms”) as outlined herein. Connect Rocket reserves the right to change the Terms at any time in its sole discretion without notice. Your continued participation in the Program after any such changes shall constitute acceptance of such changes.You can review the most current version of the Program’s Terms at any time by visiting www.connectrocket.com/referral/terms.

Overview

The intent of the Program is to allow Referrers to introduce prospective customers to Connect Rocket Teams in exchange for a financial incentive (the “Referral Reward”) should a prospective customer become a paying customer.

Program Eligibility

To participate in the Program, the Referrer must:

1. be 18 years of age or older;
   1. be an authenticated user of the Connect Rocket Teams iOS and/or Android mobile app;
   2. not purchase or register any web domains with the Connect Rocket name (including misspelling or variations);
   3. not create, purchase or use any advertising, in any form that uses the Connect Rocket brand and/or name other than those materials created and made available by Connect Rocket specifically for this Program;
   4. not issue any press release regarding Connect Rocket or this relationship;
   5. not in any manner misrepresent or embellish the relationship with Connect Rocket;
   6. not engage in fraudulent, illegal, or overly aggressive or questionable sales or marketing methods.
2. Any violation of this Agreement, or Terms may result in, among other things, termination or suspension of your rights to be a Referrer and forfeiture of any outstanding Referral Reward payments earned as a result of or after the violation.

Referral Process

1. To be eligible for a Referral Reward, a prospective customer must register for a demo using a Referrer’s personal referral link (found on the profile page of the Connect Rocket Teams mobile app).
2. If a prospective customer fails to register for a demo using a Referrer’s personal referral link, they can optionally provide Connect Rocket with the name of the Referrer at the outset of a product demo.
3. Once a Referrer is associated with a prospective customer, Connect Rocket will track the prospective customer and will pay any eligible Referral Rewards as outlined herein.
4. Prospective customers can only be referred to Connect Rocket by one Referrer. In all instances, the Referral Reward will be paid to the Referrer whose personal link was used to book the initial demo or whose name was provided to Connect Rocket by a prospective customer.
5. In the event that a prospective customer provides Connect Rocket with more than one referral link or Referrer name and a Referral Reward becomes payable, the prospective customer will be asked to clarify which individual should receive payment.
6. To be eligible for a Referral Reward, a prospective customer must be an individual or organization that has not previously engaged with Connect Rocket’s services.
7. All prospective customers will be provided with a thirty (30) day free trial to use Connect Rocket’s Services prior to being asked to become a paying customer.
8. If a prospective customer signs up for Connect Rocket’s services by going to Connect Rocket’s website directly (and not through a referral link) and does verbally notify Connect Rocket of a relationship with a Referrer, the prospective customer will not be associated with the Referrer and no Referral Reward will be paid.

Referral Reward

1. A Referral Reward is comprised of up to two (2) payments:
   1. A primary payment of $100 CAD will be paid to the Referrer when a prospective customer chooses to become a paying customer within one-hundred and twenty (120) days of completing a Connect Rocket demo.
   2. A secondary payment of $300 CAD will be paid to the Referrer when a paying customer, referred to Connect Rocket by the Referrer, remains a customer for six (6) consecutive months, with no open or unpaid invoices.
2. The receipt of a primary payment does not guarantee a secondary payment.
3. Any costs related to the participation in the Program shall be borne solely by the Referrer. Connect Rocket is not obligated or required to and shall not pay any compensation to the Referrer other than the Referral Reward as outlined herein.
4. Participating in this Program, it is expressly understood and agreed that the Referrer is not an employee of Connect Rocket and the parties further acknowledge that this Agreement is not intended to, nor does it create, or any way establish either partnership or joint venture between Connect Rocket and the Referrer.

Payment

1. The primary payment will be forwarded to the Referrer within thirty (30) days of the prospective customer making successful payment for their first month of paid service.
2. If a prospective customer does not become a paying customer within one-hundred and twenty (120) days of their demo, no primary payment will be paid.
3. The secondary payment will be forwarded to the Referrer within thirty (30) days of the referral making successful payment for their first through sixth months of consecutive paid service.
4. If a referral does not remain a paying customer for six (6) months, no secondary payment will be made.
5. Receipt of a Primary Payment does not guarantee a secondary payment.
6. Payment(s) made to Canadian Referrers will be made via Interac E-Transfer in Canadian Dollars.
7. Payment(s) made to Referrers who are not Resident in Canada will be made by Amazon Gift Card in the Canadian dollar equivalent of their local currency and delivered by email.
8. No retroactive payments will be made for referrals made prior to the Program start date of December 1, 2024.
9. Connect Rocket shall have no responsibility for determining, remitting, or withholding any taxes applicable to the Referral Reward.
10. In case the Referrer believes the Referral Reward has been calculated incorrectly, the matter must be brought to Connect Rocket’s attention by email to hello [at] connectrocket [dot] com within fourteen (14) business days of a payment by Connect Rocket to the Referrer, otherwise the payout will be final.

Limitations

1. There is no maximum number of referrals you can make; however, all referrals must comply with these Terms.
2. Connect Rocket reserves the right to verify the legitimacy of all referrals and may disqualify any referrals that it believes to be fraudulent or in violation of these Terms.

Modification and Termination

1. This Agreement shall become effective when the Referrer first chooses to share their personal referral link.
2. Connect Rocket reserves the right to modify or terminate the Referral Program at any time without prior notice.

Personal Data

1. Connect Rocket is not obliged to share any personal data of a prospective or paying customer with a Referrer.
2. If the Referrer wishes to keep personal data concerning prospective customers and/or paid customers for its own internal use, the Referrer is expected to comply with applicable Privacy Legislation.

Limitation of Liability

1. To the maximum extent permitted by law, the Referrer expressly understands and agrees that Connect Rocket shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages resulting from participation in the Program.
2. In any event, you specifically agree, that if you suffer loss or damage as a result of Connect Rocket’s negligence or failure to comply with these Terms, any claim by you against Connect Rocket arising from Connect Rocket’s negligence or failure will be limited in respect of any one incident, or series of connected incidents, to the total of $400 CAD, comprised of (1) primary and one (1) secondary payment.

Miscellaneous

1. The Terms and any modifications as provided for herein, constitute the entire Agreement between the parties and no understandings, representations or agreements, oral or otherwise, exist between the parties with respect to the subject matter of this Agreement except as expressly set out or incorporated by reference in the Terms.
2. The failure of Connect Rocket to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.
3. If any provision of the Terms or the application thereof to any person or circumstance is invalid or unenforceable to any extent, the remainder of the Terms and the application of such provision to any other person or circumstance will not be affected or impaired thereby and will be valid and enforceable to the extent permitted by law.
4. The Terms will enure to the benefit of and be binding upon the parties and their successors and permitted assigns.
5. This Agreement will be governed by and construed and interpreted in accordance with the laws of the Province of British Columbia, Canada.
6. Any notice given under this Agreement by either party to the other must be by e-mail and will be deemed to have been given on successful transmission. Notices to Connect Rocket must be sent to hello [at] connectrocket [dot] com. Notices to the Referrer will be sent to the email address where Referral Reward payments are sent.
